About the Role: We are seeking an experienced, business-minded Corporate Counsel to lead key areas of corporate legal strategy, governance, and legal operations at Netomi. This is a high-impact role working closely with the executive leadership team on strategic transactions, board matters, and scaling the companys legal infrastructure. The ideal candidate brings deep expertise in corporate law along with a strong operational mindset to build efficient legal systems in a high-growth environment. We are looking for a dynamic and business-minded Corporate Counsel to join our team. This role blends traditional in-house legal responsibilities with operational excellence, helping scale the legal function through process, technology, and strategic partnership. Youll work cross-functionally with teams including Business Operations, Finance, Sales, Product, Finance, HR, and Executive Leadership to provide practical legal guidance while building efficient, scalable legal systems.

Responsibilities:

Commercial & Product Support

Draft, review, and negotiate commercial agreements, including SaaS contracts, MSAs, NDAs, and vendor agreements
Advise on product-related legal issues, including data usage, AI governance, and regulatory considerations
Support compliance with data privacy laws (e.g., GDPR, CCPA) and emerging AI regulations

Cap Table & Equity Structure

Own the legal aspects of cap table management and corporate ownership structure
Manage equity incentive plans, stock option and RSU programs, and equity administration
Oversee 409A valuations and support secondary transactions
Partner with Finance and external providers on equity-related compliance and reporting

Executive Compensation

Advise on executive compensation structures and frameworks
Draft and negotiate employment agreements for senior leadership
Partner with People and Finance teams on equity award design and compensation strategy

Entity Management & International

Oversee subsidiary governance and global entity structure
Manage entity formation, qualification, and ongoing corporate compliance across jurisdictions
Support international expansion from a legal and structural standpoint

Investor Relations Support

Partner with Business Operations, Finance ,and leadership on investor communications
Support investor information rights ,reporting obligations ,and governance matters
Assist with preparation for fundraising and investor interactions

Legal Operations

Build and scale legal processes ,playbooks ,and workflows to improve efficiency
Own contract lifecycle management (CLM) systems & legal tech stack
Develop templates ,fallback positions ,and negotiation guidelines
Track legal KPIs such as contract turnaround time & risk exposure
Drive automation & cross-functional alignment to streamline legal engagement

Requirements:

J.D. from a top-tier law school & membership in good standing with at least one U.S. state bar

-5 -8 years of corporate legal experience ,including significant law firm experience &/or in-house experience at a high-growth technology company

Strong experience in commercial contracting (preferably SaaS/tech)
Strong drafting & negotiation skills across a wide range of corporate & commercial agreements
Experience with multi-state business registration & U.S. employment law compliance
Familiarity with Canadian labor laws & cross-border employment considerations
Familiarity with data privacy laws (e.g., GDPR ,CCPA) & emerging AI regulations
Hands-on experience with cap table management ,equity compensation programs ,& complex capital structures
Experience working & communicating with cross-functional stakeholders in fast-paced environments - Business-oriented mindset with practical risk assessment ,process-driven with an interest in building systems & scalability - Ability to balance legal risk with commercial objectives - Ability to operate independently with sound judgment in a fast-paced high-growth environment - Solid understanding of data privacy & compliance frameworks is a plus
