The Team:
- Legal team supports company operations with sound legal judgment.
- Role supports Upstart’s proposed OCC-chartered bank.
- Responsibilities include corporate governance, board support, affiliate transaction frameworks for a regulated national bank.
How you’ll make an impact:
- Lead corporate governance support for Upstart Bank: board and committee meeting preparation, agendas, pre-read materials, minutes, resolutions, policies, committee charters.
- Advise bank directors, executives on governance obligations and requirements applicable to an OCC-chartered national bank.
- Provide guidance on Bank Holding Company Act and related regulatory requirements for Upstart Holdings, Inc., including Federal Reserve reporting (FR Y-series).
- Support engagement with federal regulators (OCC, FDIC, Federal Reserve), preparation for examinations, advising on CAMELS ratings.
- Support intercompany agreements and affiliate transaction processes including Regulation W analysis and coordination with Treasury, Accounting, Tax, Regulatory Counsel.
- Build legal processes supporting examination readiness: documentation, operating rhythms, timely regulatory responses.
- Partner cross-functionally on governance/regulatory considerations related to new products/business initiatives/bank operations.
- Manage special corporate and banking projects: regulatory examinations, governance enhancements, internal policies, external counsel coordination.
Minimum Qualifications:
- J.D. degree and active membership in at least one U.S. state bar.
- 8+ years experience in banking law, bank regulatory law, corporate governance or financial services legal experience at law firm/financial institution/fintech/regulated bank.
- Working knowledge of OCC regulations, National Bank Act, Bank Holding Company Act, Regulation W.
- Experience advising on corporate governance for banks or regulated financial institutions including affiliate transaction monitoring and intercompany agreements.
- Experience supporting OCC examinations or other bank regulatory engagement.
- Experience with Federal Reserve bank holding company reporting and supervisory frameworks such as CAMELS ratings.
- Experience managing conflicts of interest between a bank and affiliates including dual-hatted employees.
- Experience drafting/reviewing board minutes, committee charters, governance policies, resolutions or intercompany agreements.
Preferred Qualifications:
- Prior in-house legal experience at a bank/fintech/regulated financial services company.
- Ability to translate complex regulatory requirements into practical guidance for business/finance/executive stakeholders.
- Experience building governance processes/playbooks/legal frameworks in evolving regulated environments.
- Familiarity with de novo bank application processes/OCC charter requirements/legal/governance frameworks for newly chartered banks.
