Job Summary:
We are seeking a highly skilled and experienced Manager of Compliance to join our fast-growing fintech/nbfc company based in Mumbai. The Manager of Compliance will be responsible for ensuring that our organization adheres to all applicable laws, regulations, RBI guidelines, and industry standards. The ideal candidate will possess in-depth knowledge of financial regulations and compliance requirements in India, particularly those set forth by the Reserve Bank of India (RBI). Additionally, strong analytical and communication skills are essential for this role. The Manager of Compliance will work closely with internal stakeholders to develop and implement compliance programs and policies to ensure our operations are conducted in a compliant manner.
Job Responsibilities:
- Ensuring the company complies with all applicable laws, regulations and guidelines as per Companies Act and RBI regulations.
- Managing end to end secretarial compliances of the company, including the maintenance of statutory registers, filings and records with regulatory authorities.
- Coordinating and organising board meetings, including preparing and distributing agendas, attending meetings, and drafting minutes.
- Vetting, drafting and negotiating contracts/agreements ensuring comprehensive coverage of commercial, contractual, technical and administration matters.
- Facilitating communication between the company and its shareholders including organising annual general meetings and handling shareholder inquiries.
- Implementing and maintaining good corporate governance practices within the organisation including advising the board on corporate governance matters.
- Providing legal advice and guidance to the board and senior management on various legal matters affecting the company.
- Continuously monitoring changes in laws and regulations that affect the company ensuring prompt compliance with new requirements.
